These terms apply to services provided by BurTech Solution (“BurTech”, “we”, “us”) to clients (“you”). Our Shopify apps are governed by the App Support page and each app’s listed terms; our software products are governed by the SaaS Terms. Ready-to-use workflows are covered by the Refund Policy in addition to these terms.
Services
BurTech provides software engineering, design, automation, content and consulting services. Each engagement is defined by a written scope and quote agreed before work begins. Work outside the agreed scope is quoted separately before it starts.
Quotes and payment
Quotes are fixed for the agreed scope and valid for 30 days. Changes to scope are re-quoted before additional work begins. Payment terms — deposits, milestones and due dates — are stated on each quote and invoice. Retainers are billed monthly in advance and may be cancelled by either party with 30 days’ written notice. Late payments may pause work.
Your responsibilities
You agree to provide timely access to the accounts, systems, content and decisions the work requires, and to confirm that you have the rights to any material you supply. Delays in providing access or feedback may extend timelines.
Ownership
On full payment, you own the deliverables — code, designs and content — which are delivered into your accounts and repositories. We retain ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual licence to use any of them included in a deliverable. We may reference non-confidential work in our portfolio unless you ask us not to.
Confidentiality
Each party keeps the other’s non-public information confidential and uses it only for the engagement. This survives the end of the engagement.
Third-party platforms and AI services
Our work often depends on third-party platforms and services — for example Shopify, WordPress, hosting providers, APIs and AI model providers. We are not responsible for changes, outages, pricing decisions or policy changes made by those providers. Where AI models are used, outputs are reviewed as agreed in scope, but no AI output is guaranteed to be error-free; approval steps exist for that reason.
Warranties and liability
We fix defects in our own work reported within 30 days of delivery at no charge. Beyond that, services are provided “as is” without other warranties, express or implied. To the maximum extent permitted by law, our total liability for any engagement is limited to the fees paid for that engagement, and neither party is liable for indirect or consequential losses.
Termination
Either party may end an engagement with written notice. You pay for work completed and costs incurred to that date, and we hand over work in progress in its current state.
General
These terms, together with the written scope and quote, are the entire agreement for an engagement and take precedence over any conflicting terms in a purchase order. They are governed by the laws applicable where BurTech Solution is established.
